1. The agreement
seed (the “Service”) includes the seed website, web app, iOS app and related services, operated by Cash Flow Crescendo Inc. (“we”, “us”), Ontario, Canada. By creating an account or using the Service you agree to these Terms. If you use seed on behalf of an organization, you confirm you’re authorized to accept these Terms for it, and “you” includes that organization.
2. Your account
- You must be at least 13 years old (16 in the EEA and UK) to use seed. To buy Pro you must be old enough to form a binding contract where you live.
- You sign in with a Google account. Keep it secure; you’re responsible for what happens under your account. Tell us promptly at support@getcashflow.co if you think it’s been compromised.
- Give us accurate information, and one person per account. The seed agent is part of the Service, not a separate account you can control outside it.
3. Your content
You own your content: everything you type, upload, attach or connect. We claim no ownership of it.
You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display your content only as needed to provide and secure the Service. That includes showing it to people you share it with, and sending it to our service providers, including AI providers, when you use features that need them, as described in the Privacy Policy. This licence ends when your content is deleted from our systems, except for copies you’ve shared that others still hold in seed.
You confirm you have the rights to the content you put in seed. Don’t upload anything you’re not allowed to share. That includes other people’s personal information you have no right to process, and material you don’t have the rights to.
4. Shared workspaces
The owner of a workspace or folder controls who can access it and at what level (editor, viewer or no access), and can remove people at any time. When you post in someone else’s folder, the owner and the people they’ve given access can see and keep what you posted. Removing you from a folder doesn’t delete what you posted there. If you invite people, you’re responsible for inviting only people you’re allowed to share that content with.
5. AI features
- The agent acts for you. When you or your workspace’s settings allow it, the seed agent can create, change and delete items, and act in connected services: send email, create calendar events, add spreadsheet rows, post to Slack. You choose which abilities it has and whether it asks first. You’re responsible for actions taken with your settings and on your instructions, including messages sent from your connected accounts.
- AI makes mistakes. Output can be inaccurate, incomplete or out of date. Review important results before relying on them. AI output isn’t professional, legal, financial, tax, medical or other advice.
- Third-party models. AI requests are processed by third-party providers, as described in the Privacy Policy. That includes Google’s free Gemini tier when the workspace owner has it turned on. Don’t submit content through AI features that you aren’t permitted to share with those providers.
- You may use AI output for any lawful purpose, subject to these Terms. Similar output may be generated for other users.
6. Financials
Financials is a simple ledger and receipt reader, not accounting, bookkeeping or tax software. Amounts and details read from documents may be wrong. Check them before relying on them for taxes, reporting or payments, and keep your original records as the law requires. We’re not responsible for decisions or filings made using Financials.
7. Connected services
seed can connect to services we don’t operate, such as Google, Slack and Stripe. Your use of them is governed by their terms and privacy policies. We’re not responsible for them, and features that depend on them may change or stop working if they change their services. You can disconnect them at any time.
8. Plans and billing
- Free. The Free plan costs nothing and includes the limits shown on our pricing page. We may change Free features or limits. If a change reduces what you have, we’ll give you reasonable notice first.
- Pro. Pro is a subscription billed in advance, monthly (currently US$8) or yearly (currently US$80), through our payment processor, Stripe. It renews automatically at the end of each period, at the then-current price, until you cancel.
- Cancelling. Cancel any time from Settings › Plan › Manage billing. Cancellation takes effect at the end of the current paid period. Pro stays active until then, and you won’t be charged again.
- Refunds. Payments are non-refundable except where the law requires otherwise, or where we choose to make an exception. If you think you were charged in error, contact us within 30 days.
- Price changes. We’ll tell you at least 30 days before a price change affects your subscription. It applies from your next renewal, and you can cancel before then.
- Failed payments. If a payment fails and isn’t resolved, your account may move to Free.
- Taxes. Prices don’t include taxes unless stated. You’re responsible for applicable taxes, which may be added at checkout.
- Moving to Free. When Pro or a trial ends, your content is kept. Anything over Free limits (storage, workspaces) stays viewable, but you can’t add more until you’re under the limit. Pro-only features stop working, and Trash keeps items for 7 days.
- Free trial. New accounts get a 14-day trial of Pro features at no charge and with no payment details. When it ends the account moves to Free automatically unless you subscribe; you’re never charged for a trial.
- Allowances (agent requests, sends, document reads) reset on the first day of each calendar month (UTC) and don’t carry over. Invite bonuses apply while the invited person’s account exists.
- Promotions are subject to the terms shown when you take them up.
9. Acceptable use
Don’t use seed to:
- break the law or infringe anyone’s rights, including privacy and intellectual property rights;
- harass, threaten, defraud or impersonate anyone, or send spam or unsolicited messages (including through the agent and connected email or Slack accounts);
- upload malware or anything designed to harm systems;
- store or share child sexual abuse material, or content that promotes violence or terrorism. We report such content to the authorities;
- probe, scan or attack the Service, or access accounts, folders or data you haven’t been given access to;
- get around plan limits or usage caps, for example by creating multiple accounts or scripting the agent. Don’t resell the Service without our written permission;
- scrape the Service, or use it to build a competing product;
- try to make the agent do any of the above, or manipulate it into ignoring its safeguards.
We may remove content or suspend access if we reasonably believe these rules have been broken or the Service or others are at risk. Where appropriate we’ll tell you and give you a chance to respond.
10. The iOS app
If you download seed from Apple’s App Store, these additional terms apply:
- These Terms are between you and us, not Apple. Apple isn’t responsible for the app or its content.
- Your licence to use the app is non-transferable and limited to Apple-branded devices you own or control, as allowed by the App Store’s Usage Rules.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to meet an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. Apple has no other warranty obligation, to the extent the law allows.
- We, not Apple, are responsible for handling claims about the app: product liability, failure to meet legal or regulatory requirements, consumer protection, privacy and intellectual property infringement.
- You confirm you’re not located in a country subject to a US Government embargo or designated as a “terrorist supporting” country, and that you’re not on any US Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
11. Our rights
The Service, including its software, design and the seed name and logo, belongs to us and our licensors. We give you a personal, non-exclusive, non-transferable, revocable licence to use it under these Terms. If you send us feedback or ideas, we may use them without obligation to you.
12. Ending your use
You can stop using seed at any time and delete your account in Settings › General › Delete account (on the web or in the iOS app). We may suspend or end your access if you seriously or repeatedly break these Terms, if the law requires it, or if we stop providing the Service. Unless it’s urgent or unlawful, we’ll give you notice and a chance to export your content first. If we discontinue the Service entirely, we’ll give at least 30 days’ notice and refund any prepaid, unused Pro time. Sections that by their nature should survive, such as ownership, disclaimers, liability limits and governing law, continue after termination.
13. Disclaimers
We work hard to keep seed reliable and your data safe. But to the fullest extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied. That includes merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, error-free or free of data loss. Keep your own copies of anything critical. Some places don’t allow these exclusions, so some may not apply to you.
14. Limitation of liability
To the fullest extent the law allows, neither we nor our affiliates, employees or suppliers will be liable for:
- indirect, incidental, special, consequential or punitive damages;
- lost profits, revenue, data or goodwill;
- actions taken by the agent or connected services on your instructions or settings.
Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or CA$100. These limits don’t apply to liability that can’t be limited by law, such as for fraud, gross negligence or wilful misconduct, or to your statutory rights as a consumer.
15. Indemnity
If you use seed for a business, you agree to defend and compensate us against claims, losses and costs (including reasonable legal fees) arising from your content, your use of the Service in breach of these Terms, or your violation of law or anyone’s rights. This doesn’t apply to the extent a claim is caused by us.
16. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts in Toronto, Ontario have exclusive jurisdiction, and you and we agree to submit to them. If you’re a consumer, nothing here takes away the protection of mandatory consumer laws where you live, or your right to bring a claim in your local courts where the law gives you that right. Before filing a claim, please contact us. Most problems can be sorted out quickly.
17. General
- Changes. We may update these Terms. For significant changes we’ll give at least 30 days’ notice in the app or by email. Continuing to use seed after they take effect means you accept them; if you don’t, you can stop and cancel.
- Entire agreement. These Terms, the Privacy Policy and any terms shown at purchase are the whole agreement between us about the Service.
- Severability and waiver. If part of these Terms is unenforceable, the rest still applies. Not enforcing a term isn’t a waiver.
- Assignment. You can’t transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
- Force majeure. We’re not liable for delays or failures caused by events beyond our reasonable control.
- Language. The parties want these Terms written in English. Les parties ont exigé que ces conditions soient rédigées en anglais.
